Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Sean Hayes, a sole proprietor based in British Columbia, Canada, operating Lotus Invoice ("we", "us", "our"). By creating an account or using the Lotus Invoice app or website (the "Service"), you agree to these Terms. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least the age of majority in the place where you live, and able to enter into a binding contract, to use the Service. The Service is intended for business use by independent teachers and contractors.

3. The Service

Lotus Invoice helps you track the classes you teach and create and send invoices. The Service is currently free to use. If we introduce paid features in the future, we will post the applicable terms and pricing and give you notice before they apply to you. We may add, change, or remove features over time.

4. Your account

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity that happens under your account. Let us know promptly at support@lotusinvoice.com if you believe your account has been compromised.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful or fraudulent purpose;
  • upload content that infringes someone else's rights or that is unlawful;
  • attempt to disrupt, reverse-engineer, scrape, overload, or gain unauthorized access to the Service or its systems;
  • use the Service to send invoices or claims you know to be false.

6. Your content

You own the data you put into the Service — your clients, rates, line items, invoices, and business details. You grant us a limited licence to store, process, and display that data solely to operate and provide the Service to you (for example, to generate your invoices and sync your data across your devices). We do not claim ownership of your content.

7. Invoices and taxes

Lotus Invoice is a tool to help you create invoices. You are solely responsible for the accuracy and legality of the invoices you create, for charging and remitting any applicable taxes, and for meeting your own tax, accounting, and legal obligations. We do not provide tax, accounting, or legal advice, and the Service is not a substitute for a qualified professional.

8. Third-party services

The Service relies on third parties, including Apple and Google (for optional sign-in) and the Apple App Store (for app distribution). Your use of those services is also governed by their own terms. We are not responsible for third-party services.

9. Our intellectual property

The Service, including its software, design, and the Lotus Invoice name and branding, belongs to us and is protected by law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, or redistribute the Service except as allowed by law.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, arising out of or related to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, or expenses arising from your misuse of the Service or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and delete your account at any time from the app's Settings. We may suspend or terminate your access if you breach these Terms or use the Service in a way that could harm us or other users. On termination, your right to use the Service ends; data deletion is handled as described in our Privacy Policy.

14. Changes to the Service and these Terms

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above and, where appropriate, notify you in the app. Your continued use of the Service after an update means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute that is not otherwise resolved.
